Job Description

SUMMARY:

The Paralegal will be responsible for a broad range of functions to support Affinity Development’s Group’s Business Development team.  This will include drafting, reviewing and negotiating all contracts.  Candidates should have experience working in a corporate legal or contracts department (and/or law firm), be comfortable collaborating with internal business teams, and interacting with vendors and customers. The position will report to the General Counsel and is responsible for providing legal services to the Business Development team within the Company. The ideal candidate should be solution-oriented, have strong contract negotiation skills and contract drafting experience along with the ability to provide practical advice.


PRINCIPAL DUTIES AND RESPONSIBILITIES:

 

  • Develop, draft, review, approve legal terms and conditions, and negotiate wide variety of agreements and contracts including but not limited to: master service agreements, vendor, supplier, consulting, NDA’s and other types of agreements
  • Analyze contract terms to ensure compliance with applicable federal, state, and local laws and regulations, industry best practices, and company policies and bylaws
  • Lead and support contract negotiations with business partners, project teams, internal clients where appropriate
  • Advise internal business line and administrative support teams on contract matters, including structuring, negotiation, interpretation, compliance and enforcement, risk assessment, legal and regulatory compliance, and consistency with business/operational requirements
  • Collaborate with General Counsel to provide practical and strategic legal advice to business owners and Senior management
  • Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals
  • Ensure that all contracts and agreements are tracked and stored appropriately
  • Responsible for taking minutes in Executive Team meetings
  • Maintain a current working knowledge of new laws, case law trends with respect to contracts and regulatory developments
  • Good sense of judgment and practical business mind to balance competing legal and business considerations to advise on practical solutions and business-oriented results
  • Strong organizational and time management skills, ability to prioritize and handle multiple tasks with frequent interruptions
  • Ability to work collaboratively with internal clients at all levels
  • Strong work ethic, a sense of urgency and high level of responsiveness to competing deadlines

 EDUCATION and/or EXPERIENCE: 

  • 3-5 years of relevant Paralegal experience in contract law, specifically in drafting and negotiating contracts, either in-house or law firm
  • Bachelor’s Degree and/or ABA Approved Paralegal Certification
  • Experience with drafting and administering the Employee Stock Ownership Program’s is preferred
  • Some International business experience is preferred

Candidates should be able to demonstrate strong legal research and written and verbal communication skills, as well as success at working independently and as a collaborative team member with business teams, and all levels of management.
